The “Stewardship Commons” website (“our website” or “the website”) is owned and operated by Stewardship Asia Centre CLG Limited (hereinafter referred to as “Stewardship Asia Centre”, “we”, “our”, or “us”).

We have built the website that is a crowdsourced content and community hub. We appreciate you taking your time to participate and contribute to meaningful discussions on ESG, sustainability, responsible investing, steward leadership and more.

We set out in these terms and conditions(“this Agreement”) what we believe to be fair use of our website and of any content including all forms of multimedia (such as articles, videos, podcasts, photos, PDFs, PowerPoint presentations) and comments that you may post on our website.

If you have any comments or queries regarding this Agreement, please let us know. If you disagree with any part of this Agreement, please do not proceed with the member account creation and instead reach out to us at admin@stewardshipcommons.com

 

By clicking on the “I Agree”, “I Accept”, “Submit”, “Login” or similar button or checking the “I Agree” or similar box at the end of the member account sign-up process or when logging in to your member account, you (which shall include individual users and organisational users) agree to be bound by this Agreement as well as the website terms and conditions (“Terms of Use”), available here.

If you wish to terminate this Agreement, please refer to section 8 below on “Termination”.

 

When you sign up as a member and create an account with us, you will be allowed access to certain restricted areas of our website and/or to publish content on our website.

The information that you provide for purposes of the membership sign-up and account creation must be accurate, complete, and kept updated by you.

You are responsible for maintaining the confidentiality of your account login name and password, and must not permit use of your account by anyone else. If you have reason to believe that your account has been compromised or that anyone else is using your account without your permission, you must let us know immediately.

 

We provide two types of member accounts -'Member' and 'Contributor'.

Member accounts allow you to gain access to content and courses, be part of our community, and participate in discussions by posting comments on our website and/or online forums. You can also publish articles by contacting us for approval.

Contributor accounts allow you the same access as that of Member accounts, with the additional privilege of publishing content in the form of articles without seeking pre-approval from us. You will need to submit your curriculum vitae or LinkedIn profile link to us for verification before you are able to sign up for a Contributor account. Only Contributors are able to create Organisation pages. Further details on the creation of these pages are below.

You do not need to sign up for any member account if you wish to simply browse our website without posting any comments, participating in online forums, or publishing any articles.

 

This section applies only to holders of Contributor accounts.

In consideration of our publishing of your content (the “Contributor Content”), you agree to grant Stewardship Asia Centre an equal share of all intellectual property rights, title and interests (including copyright) in the Contributor Content in all forms, media, and in all countries of the world, to be co-owned as tenants-in-common, with full rights to use, license, and enforce the said intellectual property rights and to assign the above share of co-ownership without any obligation for Stewardship Asia Centre to account to you for any proceeds thereof.

You also agree and undertake to execute at the request of Stewardship Asia Centre, such other instruments, assurances or documents, as may be required to vest in Stewardship Asia Centre, or required for Stewardship Asia Centre to register in any jurisdiction, all the title or rights as referred to herein.

For the avoidance of doubt, and without derogation from the above, the rights that you grant to us include the following:

  • Non-exclusive rights to reproduce, store, publish, distribute, communicate or adapt the Contributor Content in any or all editions/ versions of our website, and other Stewardship Asia Centre and Stewardship Commons branded/ affiliated media (hereinafter “our Publications”) including domestic and foreign, whether in the English language or translated into a foreign language, including any successor, similar or replacement versions thereof;
  • The right to use the Contributor Content for purposes of advertisement or promotion of Stewardship Asia Centre, our Publications and/or our products as well as the right to excerpt and create teasers and summaries of the Contributor Content;
  • The right to use your name and likeness in a fair and dignified manner and to publish information about you in connection with the advertising and promotion of our Publications.

 

You agree to waive in each case for the benefit of each of Stewardship Asia Centre and all its related corporations as well as their respective successors-in-title, assigns, licensees and other designees, and shall not assert against any of them, any and all moral rights which may arise whether now or in the future anywhere in the world, in relation to the Contributor Content or any work or materials created by you in the course of or in connection this Agreement.

You agree that all rights granted by you and all waivers given by you in respect of the Contributor Content will not be revoked, and will be granted to us in perpetuity.

Nothing herein shall be construed to create an employer-employee relationship between you and us. You are an independent contributor and not an employee or agent of Stewardship Asia Centre or any of its subsidiaries or affiliates. You have the right to control the means, manner and method by which you create the Contributor Content and you assume full responsibility for the quality, scope and accuracy of the Contributor Content.

 

This section applies only to Contributors who create an Organisation page. The Organisation pages may be created by duly authorised officers, directors, employees, agents, attorneys, accountants, advisors and representatives of the organisation (the “Representatives”).

By creating an Organisation page, in addition to the terms set out in this Agreement and the Terms of Use, you agree to and warrant the following:

  • You are authorised to act as your Organisation’s Representative;
  • You are authorised to access, use and modify the website through the Organisation page;
  • Any action, failure, default and omission by the Organisation’s Representative shall be construed as the Organisation’s action, failure, default and omission, and the Organisation shall be fully responsible for all such matters;
  • As the Organisation’s Representative, you shall ensure that all contents you publish are fully authorised by the Organisation and the Organisation shall take full responsibility for such contents; and
  • As the Organisation’s Representative, you shall ensure that the Organisation is the owner of the intellectual property in the contents published, that the Organisation is granting you/Stewardship Asia Centre distribution rights and that the contents do not infringe on the intellectual property rights of others.

 

Your member account allows you to participate in the discussion on our website by posting comments on articles. We may also provide you with an online forum to submit and publish content. If you have a Contributor account, you may also publish articles on our website.

By posting any comment to any article, submitting any content to an online forum on our website, or publishing any form of content including articles to our website (collectively “General Content”), you agree to and warrant the following:

  • You will grant us and our affiliates, subsidiaries and subcontractors (including the necessary Internet content hosting servers and delivery networks) non-exclusive rights to reproduce, store, publish, distribute, or communicate the General Content in any or all editions/ versions of our website;
  • The hosting of the General Content on any servers by us will not require any further licences or rights from, or in any way infringe any intellectual property or other rights of any third party.

 

You agree not to do the following, or assist anyone else to do the following:

  • Transmit any General Content which violates or encourages the violation of any law or the proprietary or the intellectual property rights or other rights of any third party;
  • Transmit any General Content which would expose us to any civil, criminal or other legal proceedings in any part of the world;
  • Impersonate any person or entity or otherwise misrepresent your affiliation or the origin of the General Content.

 

Without limiting any other provision in this Agreement, you agree that we may take any of the following actions in our sole discretion at any time, and without giving you prior notice:

  • Change, suspend or discontinue all or any part of our website or online forums;
  • Change how we offer and operate our website and online forums (e.g., to begin charging a fee to access features or content that we previously made available without charge);
  • Remove from our website any content including General Content and/or Contributor Content that was provided or published by you; and
  • Restrict, suspend or terminate your access to our website and online forums.

 

You agree to indemnify and hold Stewardship Asia Centre, and its subsidiaries, affiliates, officers, agents, co-branders or other partners, and employees, harmless from all claims, demands, actions, proceedings, liabilities (including statutory liability and liability to third parties), penalties, and costs (including without limitation, legal costs on a full indemnity basis), awards, losses and/or expenses, due to or arising out of the General Content and/or Contributor Content you submit, post to or transmit through the website or online forums, or due to or arising from any activity on your member account whether authorised or unauthorised by you.

 

If you wish to terminate this Agreement, you may do so by contacting us for deletion of your membership and removal of any accounts/ access granted to you. You agree that any General Content and/or Contributor Content that was provided or published by you while you were a party to this Agreement shall continue to be governed by this Agreement.

Upon your termination of this Agreement, you may delete from our website and online forums any General Content and/or Contributor Content published by you. However, please note that such Content may still exist in our backup copies, which are not publicly available.

If your General Content and/or Contributor Content has been shared with third parties in accordance with this Agreement, those third parties may have published or retained copies of your General Content and/or Contributor Content, and you agree that neither we nor our affiliates have any responsibility or liability for the removal of your Content from such third parties.

 

This agreement shall be governed by the laws of Singapore and the parties agree to the exclusive jurisdiction of the courts located in Singapore. The invalidity or unenforceability of any provision of the Agreement shall not affect the validity or enforceability of any other provision. This Agreement supersedes any prior agreement between you and Stewardship Asia Centre pertaining to the subject matter hereof.

By accessing and using the “Stewardship Commons” website, you signify you have read and accepted these Terms of Use (“Terms”) and our Privacy Policy. If you (the “user”) do not agree to these Terms forming a binding legal agreement between you and Stewardship Asia Centre CLG Limited, do not access or use the “Stewardship Commons” website and/or mobile applications (collectively “the website”). By using the services on the website, you warrant and represent that you have the legal capacity and authority to be bound by these Terms.   5. Obtain or attempt to obtain unauthorised access, via whatever means, to any of Stewardship Asia Centre’s systems.

 

Stewardship Asia Centre reserves the right, in its sole and absolute discretion, to refuse any user or potential user access to the website and/or any of the services available on the website.

Stewardship Asia Centre may, in its sole and absolute discretion, determine whether there has been a breach of these Terms and, in the event of such breach, may take actions, including but not limited to the following, against the user, which are in addition to and without prejudice to Stewardship Asia Centre’s rights and remedies under law:

  1. Immediate, temporary, or permanent withdrawal of the user’s right to use Stewardship Asia Centre’s services;
  2. Immediate, temporary, or permanent removal of any posting or material uploaded by the user;
  3. The issuance of a warning to the user;
  4. Legal action against the user;
  5. Denial of access to any contributions that do not comply with Stewardship Asia Centre’s content standards;
  6. Reporting and disclosure of information to law enforcement authorities.

 

The website may contain hyperlinks to other websites (“External Site” or “External Sites”) which are neither maintained nor controlled by Stewardship Asia Centre, or may contain content posted on or via the website by third parties.

The user agrees and acknowledges that, to the maximum extent permissible under law, Stewardship Asia Centre and its affiliates and subsidiaries, and the respective directors, officers, employees, agents, partners, principals, representatives, and other connected persons thereof shall not be responsible for any errors or omissions in any content in the website, or the content, products, or services of any External Sites or any hyperlink contained in an External Site, nor for the privacy and security practices employed by these External Sites.

We may have to disclose your personal data to any member of our group or to third parties such as vendors engaged by us to perform any of the functions and processes set out in the above ‘Purposes of Use’ section. We may also have to disclose your personal data to our professional advisors or to any regulatory, government and statutory body to comply with applicable laws or regulations or upon their valid request.

You hereby authorise us to transfer your personal data to such third parties, who will process your personal data in accordance with this Privacy Policy. Your personal data will not be disclosed by us to any other parties, unless we have obtained your consent, are legally required to do so, or are permitted under the PDPA.

Neither we nor any of our personnel shall be liable for any loss or damage suffered by you or any user due to any disclosure of any personal data to which you have consented.

This is statistical data about the browsing actions and patterns of users of our website. You agree to such transfer, storing and processing. We will take appropriate steps to ensure that your data is treated securely and that the transfer, storage and processing of your personal data is in accordance with a standard of protection that is comparable to the protection under the PDPA.

 

We use technical and organisational security precautions, including that of our data intermediaries, to protect your personal data from unauthorised access, collection, use, disclosure, copying, modification, disposal or similar risks, as well as against the loss of any storage medium or device on which your personal data is stored. Our security procedures are reviewed on a regular basis based on new technological developments.

Notwithstanding the above, you acknowledge that there are inherent risks in the transmission of data over the internet.

 

We retain your personal data for as long as necessary for the fulfilment of the purposes for which it was collected or to which you have given your consent, except where otherwise provided by applicable law.

 

You have the right to request access to or correct your personal data, or to withdraw consent to our use of your personal data in accordance with applicable laws.

All requests for the withdrawal of consent, access to, or correction of personal data held by us shall be made by contacting us.

  1. The SL25 Partners reserve the right to vary these Terms and Conditions without any prior notice. All changes will be incorporated directly into these Terms and Conditions and submission of the Application after such changes have been incorporated will constitute the Applicant’s agreement to the prevailing Terms and Conditions.
  2. The Applicant should therefore read these Terms and Conditions before submitting the Application.

 

  1. “SL25 Partners” refers to the Stewardship Asia Centre CLG Limited, the INSEAD Hoffmann Global Institute for Business and Society, WTW and The Straits Times and “SL25 Partner” or “a member of the SL25 Partners” refers to any one of them
  2. “SAC” refers to Stewardship Asia Centre CLG Limited.
  3. The “submission period” and “qualifying period” are as specified in the Application Form.
  4. “Honouree(s)” refer to the 25 selected Applicant(s).

 

  1. The eligibility criteria are as stipulated on SL25 official page: stewardleadership25.com and in the Application Form.
  2. The Applicant confirms that the Application satisfies all the eligibility criteria when the Application is submitted.

 

  1. Applications may only be submitted by the owner/for-profit organisation or a public relations firm (“PR firm”) on its behalf and not by any other third parties.
  2. If an Application is submitted by a PR firm, it confirms that it has the written consent of the owner/for-profit organisation to submit the Application and a copy of the consent is uploaded as part of the Supporting Materials (as defined below).
  3. A maximum of 25 applications will be selected per submission period.
  4. An organisation may submit more than one Application (if it has more than one project that meets the eligibility criteria) up to a maximum of 3 Applications per submission period. However, only 1 project per Applicant may be selected for each submission period.
  5. All Applications must be submitted online at stewardshipcommons.com or apply.stewardleadership25.com before the end of the submission period as specified in the Application Form.
  6. All entries in the Application Form and materials (e.g., articles, photographs, images (in any media) and videos etc.) submitted in support of the Application (“Supporting Material(s)”) must be in the English language.
  7. Applicants will not be able to edit or delete their entries after submission unless requested or permitted by SAC.
  8. The Application submitted must not contain any form of plagiarism or content which is offensive or promotes activities which are discriminatory (e.g. race, religion, gender etc.) or against public interest or cross-jurisdictional harmony or security.
  9. The Application and any Supporting Materials must not infringe any third party’s trade secrets, proprietary rights, intellectual property rights, industrial property rights, personal or moral rights or any other rights, including without limitation, copyright, trademark or patent or any confidentiality obligations.
  10. The Application must not violate any applicable laws and regulations (in and outside Singapore and its local jurisdiction).
  11. While SAC tries to ensure the availability of the online platform throughout the submission period, it cannot be held responsible for any interruptions of service. The SL25 Partners reserve the right to suspend the submission of the online Application Form without notice in the case of system failure, maintenance or repair, or for any other reason beyond its control
  12. The SL25 Partners shall not be responsible for, and need not consider lost, late, misdirected, incomplete or garbled entries, no matter what the reason for the entries being as such (including for the avoidance of doubt, technical reasons or human error or negligence).
  13. For avoidance of doubt, successful submission of the Application Form does not guarantee the Applicant an opportunity to participate in or to be assessed for SL25. The SL25 Partners reserve the right in its sole and absolute discretion, to reject or refuse an Application without giving any reason.
  14. The Applicant agrees that the statements and opinions expressed through the Application and Supporting Materials represent the opinions of the Applicant and does not represent the views of any of the members of the SL25 Partners.
  15. The Applicant understands and accepts that SL25 may be cancelled, modified or suspended in whole or in part at any time after the submission of the Application without any payment of compensation or reasons given.

 

  1. The Applicant warrants that it is not prohibited under any applicable laws from submitting the Application and Supporting Materials and where applicable, it has obtained all necessary written consents (e.g. from its local government or join-venture partners etc.) for the submission of the Application.
  2. Applicants outside Singapore must ensure that its Application complies with both its local jurisdiction’s laws as well as the laws of the Republic of Singapore. When in doubt, the Applicant should seek assistance from appropriate independent legal advisors.

 

  1. The Applicant warrants that the Application and Supporting Materials conform to all applicable privacy laws (in and out of Singapore and its local jurisdiction).
  2. The Applicant further confirms that it has obtained the necessary written consents from its representatives and all relevant persons in accordance with Singapore’s Personal Data Protection Act 2012 and all other applicable laws (in and out of Singapore and its local jurisdiction) to the collection, processing, use, storage and disclosure of their personal data by the SL25 Partners and such other third parties for the purposes of SL25 as well as for photographs and videos of the Applicant (and its representatives) to be taken at the Steward Leadership Summit or on any other occasions relating to SL25. The Applicant shall produce such consent when requested by any of the SL25 Partners.
  3. The Applicant should notify SAC immediately if any consent is withdrawn.

  1. The Applicant agrees that the Application and Supporting Materials will be treated as having been submitted on a non-confidential basis even if any of the materials are marked or referred to by the Applicant as being confidential.
  2. All intellectual property and proprietary rights in the Supporting Materials remains with the Applicant or its licensors, except for the intellectual property rights embedded in the SL25 Application platform which shall remain the sole property of SAC.
  3. The Applicant accepts that the Supporting Materials may be used, edited or adapted by a SL25 Partner or its agents for publication, broadcasting and dissemination purposes through various media and means.
  4. The Applicant understands and agrees that none of the SL25 Partners shall be held liable for any copying, re-posting or unlawful use (whether unlawful or otherwise) of the Supporting Materials by third parties after publication by any one or more of the SL25 Partners.
  5. All intellectual property rights, title and interests in any adaptation or derivative works created by any member of the SL25 Partners from the Application or Supporting Materials (“Derivative Works”) (whether for purposes of publications, broadcasting, publicity, marketing or any other purposes) shall belong solely to the SL25 Partner which shall be entitled to deal with such Derivative Works in such ways as it shall, in its sole and absolute discretion, deem fit.
  6. All intellectual property rights, title and interests in the PR Package Kit (which will be provided to the Honourees), promotional materials, brochures, articles (including newspaper articles) (collectively, the “Collaterals”) and such other documents relating to SL25 produced by the SL25 Partners and any photographs and videos containing images of the Applicant (and/or its representatives) taken at the Steward Leadership Summit or on any other occasions relating to SL25 shall belong solely to the SL25 Partners or the relevant SL25 Partner which shall be entitled to deal with such Collaterals, photographs and videos in such ways as they/it shall, in their/its sole and absolute discretion, deem fit.
  7. The Applicant hereby grants each member of the SL25 Partners an irrevocable, worldwide, royalty-free, perpetual and non-exclusive licence to use, copy, edit, modify, adapt, translate, reproduce, create Derivative Works, distribute and/or refer to the whole or any part of the Application and/or the Supporting Materials for publication, broadcasting, publicity or marketing purposes or any other purpose whatsoever and in any media with the right to sub-licence or authorise such uses by others. The Applicant warrants that it has the power and has obtained the necessary rights and written consents from all its licensors and such other relevant third parties to grant to the SL25 Partners the licences contemplated in these Terms and Conditions
  8. Applicant consents to the publication and redistribution of its name, images and project information on such relevant media as the SL25 Partners may deem fit, including without limitation, on any of the SL25 Partners’ websites, collaterals and platforms.
  9. SL25 tradename, trademarks and logos should be used in the original form and in a responsible, lawful manner without any modification. Actions such as the removal of the year on the mark, or any changes to font, colour and/or orientation are strictly prohibited.
  10. Nothing in these Terms and Conditions shall be construed as any of the SL25 Partners assigning or granting the Applicant any intellectual property rights (including without limitation, their respective trademark(s) or tradename etc.) or any licence thereunder. The Applicant shall seek the relevant SL25 Partner(s)’ prior written consent (on such terms as the SL25 Partner(s) may deem fit) before using any of the SL25 Partner(s)’ intellectual property.
  11. Unless SAC indicates otherwise, the Collaterals may be shared by the Applicant with the public. However, such sharing must be in a responsible and lawful manner without any modification or misrepresentation and in accordance with the SL25 website’s Terms of Use.

 

  1. The Application will be assessed by a panel of judges.
  2. The Applicant shall not approach any of the judges, whether directly or indirectly, for any favour or to assess the Application in favour of the Applicant.
  3. The Applicant shall notify SAC if it is in any way, related to any of the judges (for example, if a judge is a shareholder of the Applicant or if judge is a spouse of a director or shareholder, or if there is or likely to be a conflict of interest which any of the SL25 Partners should be aware of.)

 

  1. Applicants will be notified in advance prior to the Steward Leadership Summit if they are selected. The Honourees shall keep (and shall ensure that their representatives, staff and agents shall keep) the selection results strictly confidential and shall not disclose the fact that it has been selected until it is officially announced to the public by the SL25 Partners.
  2. When an Honouree shares that its project has been selected, it should always include and refer to the year in which its application is selected.
  3. Each Honouree is expected to and shall (through its representatives) attend the Steward Leadership Summit and/or such other events as the SL25 Partners may require.

 

  1. Breach of any clauses in these Term and Conditions may lead to disqualification of the Application.
  2. Any Supporting Materials that are in breach of clauses 4.8, 4.9 and/or 4.10 above may be removed or blocked from public access.
  3. The SL25 Partners also reserve the right to seek all remedies available in law or in equity for such breaches (including the making of police reports where it is deemed necessary) without notice to the Applicant.
  4. The SL25 Partners’ decision and discretion on any such issues or disputes shall be final and no correspondence will be entered

 

  1. The Applicant agrees to indemnify, hold harmless, and defend each member of the SL25 Partners at all times from and against any claims, actions or demands, including, without limitation, losses, liabilities, cost and expenses (including but not limited to legal costs and expenses on a full indemnity basis) made against or suffered or incurred by the member(s) of the SL25 Partners arising directly or indirectly out of the Application or the Applicant’s breach of any of the Terms and Conditions.

 

  1. The SL25 Partners shall not be liable to the Applicant for any special, direct, indirect, economic or consequential loss or for any loss of profits, loss of business, loss of use or loss of reputation relating to or suffered by the Applicant or any third party as a result of or in connection with the Application or SL25 regardless whether any or all the SL25 Partners had been advised of or could have foreseen the possibility of such damages.

 

  1. No waiver by any SL25 Partner of any breach of or compliance with, any terms or condition in this Agreement by the Applicant shall be considered a waiver of any other term or condition or of the same term or condition at any other time.

 

  1. If any of these Terms and Conditions is, or becomes illegal, invalid or unenforceable in any respect, the legality, validity or enforceability of the remaining provisions shall not be affected or impaired.

 

  1. Any person or entity apart from the SL25 Partners and the Applicant shall not have any right under the Contracts (Rights of Third Parties) Act 2010 from enforcing any part of these Terms and Conditions.

 

  1. These Terms and Conditions and all its subsequent variations shall be subject to, governed by and interpreted in accordance with the laws of the Republic of Singapore and the Applicant hereby agrees to submit to the exclusive jurisdiction of the Courts of Singapore in connection with any dispute arising from the Application and/or these Terms and Conditions.

 

By submitting the Application, the Applicant:

  1. confirms that it has read through, fully understands and agrees to these Terms and Conditions;
  2. verifies that it possesses the full capacity, authority and legal rights to agree to these Terms and Conditions; and
  3. understands that the judges will be relying on the information and contents of the Supporting Materials in their assessment of the Application and the Applicant hereby declares that all the information provided by the Applicant or on its behalf for the purposes of the Application (including the contents of the Supporting Materials) is true, complete and current. In the event that any information provided by the Applicant for the purposes of the Application is subsequently found to be false, misleading or inaccurate, the SL25 Partners shall be entitled to reject the Application.
